These Terms and Conditions ("Terms") govern your access to and use of risingtidesalliance.com (the "Site") and the membership, events, and related services (the "Services") operated by Rising Tides Alliance Business Group, Inc. ("RTA," "we," "us," or "our"). By accessing the Site, applying for membership, or registering for an event, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1. About Rising Tides Alliance
RTA is a business networking organization for professionals in and around Westchester County, New York. Membership provides access to monthly luncheons and events, a public profile in our member directory, a referral community, and related member benefits. RTA does not guarantee any particular business result, referral volume, or revenue outcome from membership.
2. Eligibility and membership
To apply for or hold a membership you must be at least 18 years old and have the authority to enter into a binding agreement on your own behalf or on behalf of your business. You agree to provide accurate, complete information in your application and to keep your account information current.
Membership is subject to our community standards. We may decline an application, or suspend or revoke a membership, for conduct that is unlawful, harassing, fraudulent, or otherwise harmful to the organization or its members.
You are responsible for maintaining the confidentiality of your member-portal credentials and for activity under your account. Notify us promptly through our contact page if you suspect unauthorized use.
3. Membership dues, billing & automatic renewal
Annual membership dues are $700 and include prepaid monthly luncheons and the other benefits described at the time of application. Dues are charged at the time you join and, unless you cancel, your membership renews automatically each year and the card on file is charged the then-current annual rate.
By joining, you authorize RTA to store a payment token with our processor and to charge your card on file for your initial dues and each annual renewal. You can turn off automatic renewal or update your card at any time in the member portal. If a renewal payment is declined, we will attempt to reach you and may retry the charge before the membership lapses.
Membership dues are non-refundable once a membership term has begun, except where required by law. Event and guest fees are non-refundable unless an event is cancelled by RTA. We may change dues or fees for future terms with reasonable advance notice.
4. Events and guests
Members may register for events through their private registration links. Guests are welcome to attend up to two meetings before deciding whether to apply for membership; first-time guests attend free and the second guest meeting is paid at the rate shown during registration. Event details, including location, are provided during registration. RTA may modify, reschedule, or cancel an event; if RTA cancels a paid event, paid fees will be refunded.
5. Member directory and your content
Membership includes a public profile in our member directory. You grant RTA a non-exclusive license to display the name, business, profession, headshot, biography, and contact information you provide for the purpose of operating the directory. You control which fields are public through your privacy settings. You are responsible for the content you submit and represent that you have the right to use any photo or material you upload. We may remove content that is unlawful, infringing, or inappropriate.
6. Acceptable use
You agree not to use the Site or Services to:
- Violate any applicable law or regulation
- Harass, defame, or harm other members or third parties
- Post or upload content that is unlawful, obscene, or infringes others' rights
- Misrepresent your identity, business, or affiliation
- Attempt to gain unauthorized access to the Site, member accounts, or our systems
- Use member or directory information to send spam or for any purpose other than legitimate networking
We may suspend or terminate access immediately for violations of this section.
7. Disclaimer of warranties
The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We do not warrant that membership will produce any particular networking, referral, or financial result, or that the Site will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, in no event shall Rising Tides Alliance Business Group, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, goodwill, or data, arising out of or relating to your membership or use of the Site or Services. Our total liability for any claim shall not exceed the membership dues you paid to us in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Rising Tides Alliance Business Group, Inc., its officers, directors, members, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of the rights of any third party, or the content you submit or display.
10. Third-party services
The Services rely on third-party providers including CardPointe (payments), Mailchimp (email), Amazon Web Services (hosting), and Google (address validation), as described in our Privacy Policy. We are not responsible for the actions, terms, outages, or data practices of those providers.
11. Intellectual property
The Site — including its design, text, graphics, and code — is owned by Rising Tides Alliance Business Group, Inc. and protected by United States intellectual-property laws. You may not reproduce or commercially exploit any portion of the Site without our written permission. You retain ownership of the content you submit, subject to the license granted in Section 5.
12. Cancellation and termination
You may cancel automatic renewal at any time in the member portal; your membership then remains active through the end of the paid term and does not renew. We may suspend or terminate a membership for violation of these Terms, non-payment, or conduct that harms the organization or its members. Upon termination, your public directory profile will be unpublished.
13. Modifications
We may update these Terms from time to time. The "Last updated" date reflects the most recent change. Your continued use of the Site or Services after the effective date constitutes acceptance of the updated Terms.
14. Privacy
Our handling of your information is described in the Privacy Policy. By using the Site or Services, you also agree to that policy.
15. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of those courts.
16. Severability and entire agreement
If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary so the remaining Terms stay in effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rising Tides Alliance Business Group, Inc. regarding the Site and Services.
